1. ACCEPTANCE OF TERMS

These Terms and Conditions ("Terms") govern your access to and use of the MPAKT AI user portal located at app.mpakt.ai ("Portal"). MPAKT AI ("Company," "we," "our," "us") provides this Portal and related services subject to these Terms and our Privacy Policy. By accessing or using the Portal, you agree to abide by these Terms. If you do not agree, do not use the Portal. We may modify these Terms at any time. When we do, we will provide notice via the Portal. Your continued use of the Portal after changes are made constitutes acceptance of the revised Terms.

2. SERVICES

MPAKT AI provides a range of sales, marketing, and CRM solutions ("Services") through the Portal, including but not limited to:

Analytics & Reporting

AI-powered Automation

a. No Guarantee

We strive to offer quality Services but do not guarantee specific results from using the Portal.

b. Service Interruptions

Temporary interruptions may occur. We are not responsible for delays, interruptions, or data loss due to third-party services.

c. Modifications to Services

We reserve the right to update or discontinue any Service at any time without liability.

d. No Contingency on Future Features

Your subscription is not contingent on the release of future features or improvements.

3. FREE TRIAL & PAYMENT

a. Free 3-Day Trial

MPAKT AI offers a free 3-day trial for new users. During this period, users can access the Portal’s features at no cost.

At the end of the trial, your selected subscription plan will automatically begin, and your payment method will be charged unless you cancel before the trial period ends.Each user is limited to one free trial. Users attempting to create multiple trial accounts may be subject to account suspension.We reserve the right to modify or discontinue the trial offer at any time without prior notice.

b. Fees

Access to the Portal may require a paid subscription. Fees are based on the selected plan and are subject to change.

c. Billing and Payment

You must provide accurate billing information. Subscription fees are billed in advance. If payment fails, access to the Portal may be suspended or terminated.

d. Subscription Renewals

Subscriptions automatically renew at the end of the billing cycle unless canceled before renewal.

e. Non-Refundable Payments

All subscription fees are non-refundable, including mid-cycle cancellations and downgrades. We do not offer partial refunds.

4. USER CONDUCT

By using the Portal, you agree not to:

- Engage in unlawful, abusive, or fraudulent activity.

- Infringe upon intellectual property rights.

- Upload malicious code or spam.

- Attempt to gain unauthorized access to the Portal.

- Impersonate another person or misrepresent your identity.

We reserve the right to suspend or terminate accounts engaging in prohibited conduct.

5. THIRD-PARTY SERVICES

MPAKT AI may integrate third-party services. We do not endorse or assume responsibility for third-party content, services, or transactions.

6. DATA SECURITY & PRIVACY

Your use of the Portal is subject to our Privacy Policy www.mpakt.ai/privacy-policy. While we take security seriously, you are responsible for safeguarding your login credentials.

7. INTELLECTUAL PROPERTY

a. Ownership

All content, trademarks, software, and intellectual property on the Portal belong to MPAKT AI or its licensors.

b. License

We grant you a limited, non-exclusive, non-transferable license to access and use the Portal solely for its intended purpose.

c. Restrictions

You may not copy, modify, distribute, or reverse-engineer any portion of the Portal.

8. TERMINATION

a. By You

You may cancel your account by providing a 30-day written notice before the next billing cycle.

b. By Us

We may terminate or suspend your account for violations of these Terms, non-payment, or any other reason deemed necessary.

9. DISCLAIMERS & LIMITATIONS OF LIABILITY

a. "As Is" Services

The Portal and Services are provided "as is" and "as available" without warranties of any kind.

b. Limitation of Liability

To the maximum extent permitted by law, MPAKT AI is not liable for:

Loss of profits, data, or business opportunities.Service interruptions, errors, or security breaches.Indirect, incidental, or consequential damages.Our total liability will not exceed the amount you paid in the last three months before the issue arose.

10. INDEMNIFICATION

You agree to indemnify and hold harmless MPAKT AI from claims, damages, and expenses arising from your use of the Portal, including but not limited to violations of these Terms.

11. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of Missouri, without regard to conflict-of-law principles. Any disputes must be resolved through arbitration in Missouri, except where prohibited by law.

12. MISCELLANEOUS

a. Force Majeure

We are not responsible for delays due to events beyond our control (e.g., natural disasters, power failures, cyberattacks).

b. Severability

If any provision is deemed unenforceable, the remainder of the Terms remains in effect.

c. No Waiver

Failure to enforce any provision does not waive our right to enforce it in the future.
